NCS Bankimport España Plugin - One-time Purchase

§1 Scope

These Terms and Conditions apply to the purchase and use of the Dolibarr plugin “NCS Bankimport España” (hereinafter “Software”) from NetCorSoft (hereinafter “Provider”).

§2 Subject Matter

1. The subject matter of the contract is the provision of the software “NCS Bankimport España” version x.x.x as a ZIP file for download.

2. The software is a locally running Dolibarr plugin for automatic import of bank transactions from CSV files of all German banks (DKB, Sparkassen, Volksbanken, ING, Commerzbank, Deutsche Bank, N26 etc.) with intelligent invoice matching.

3. The software is licensed under GPL v3 (GNU General Public License Version 3). Full license text: https://www.gnu.org/licenses/gpl-3.0.html

4. The contract includes:

• Download access to the software (ZIP file)
• 30 days email support
• Access to updates and bugfixes for 1 year
• Documentation in German and English

§3 Price and Payment

1. The purchase price is €69.00 (one-time, plus applicable VAT).

2. Payment methods:

§4 License and Usage Rights

1. The software is licensed under GPL v3.

2. The customer may:

• Use the software
• Copy and distribute the software
• Modify and adapt the software
• Distribute modified versions (also under GPL v3)

2. Usage of the local software is unlimited in time.

§5 Support and Updates

Discontinuation of Support and Development (Exit Clause)

Important Notice: The provider reserves the right to discontinue development, distribution, and support for the plugin at any time, without replacement, and without stating reasons.

In case of discontinuation: - Already paid premium support will be refunded proportionally - The locally running plugin remains usable under GPL v3 without time limits - The source code remains open and available - Customers can continue development themselves or have it adapted by third parties

The provider is not obligated to: - Provide permanent updates or new versions - Provide support beyond the agreed period - Adapt the plugin for future Dolibarr versions - Implement future CSV format changes from banks

§6 Warranty

1. Statutory warranty rights apply (2 years from delivery).

2. The software is provided “as is”. The provider does not warrant:

• Error-free and uninterrupted operation in every server environment
• Compatibility with all future Dolibarr versions or third-party plugins
• Compatibility with all bank CSV formats (only standard German banking CSV formats are supported)
• Correctness of automatic invoice matching in all cases

§7 Liability

1. The provider is fully liable for intent and gross negligence.

2. For slight negligence, liability is limited to:

• Breach of essential contractual obligations
• Contractually foreseeable damage
• Maximum amount of the purchase price (€69)

1. Limitation of liability:

The provider is not liable for: - Indirect damages or consequential damages - Lost profits - Data loss (if avoidable through appropriate backup) - Incorrect assignment of transactions to invoices - Financial errors due to incorrect import or matching - Damages from improper use or modification of the open software - Incompatibility with third-party software or CSV formats from other banks

1. The customer is solely responsible for:

• Final verification of all imported transactions and assignments
• Compliance with tax and legal requirements
• Regular data backup

§8 Right of Withdrawal (for consumers)

Consumers have a 14-day right of withdrawal. B2B customers are excluded from this right.

Note: The right of withdrawal expires prematurely upon the successful download of the digital content and start of use of the software!

§9 Applicable Law

1. German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

2. Contract language is English. In case of translations, the German version is authoritative.
